This End-User License Agreement (“EULA”) is a legal agreement between you (“Licensee”) and Rescope Digital Ltd (“Licensor”), a company registered in England, governing your use of the Rescope Commerce software (“Software”). By installing, accessing, or using the Software, you agree to be bound by the terms of this EULA.

If you do not agree to these terms, you must not install, access, or use the Software.

1. Grant of License

1.1 Scope of License
Licensor grants you a non-exclusive, non-transferable license to install and use the Software solely on websites you own or control. A separate license fee must be paid for each individual website on which the Software is installed.

1.2 Restrictions

• You may not attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code of the Software.
• You may not sublicense, rent, lease, lend, or distribute the Software to any third party.
• The Software may only be used in accordance with this EULA.

2. Warranty Disclaimer

2.1 No Warranty
The Software is provided “as is,” without any warranty of any kind, either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

2.2 Responsibility for Use
The Licensee is solely responsible for determining the suitability of the Software for their purposes and assumes all risks associated with its use.

2.3 Limitation of Liability
To the fullest extent permitted by law, Licensor shall not be liable for any loss of data, loss of profits, business interruption, or any indirect, incidental, or consequential damages arising out of or in connection with the use or inability to use the Software.

3. Severability

Each provision of this EULA operates separately. If any court or competent authority determines that any provision is unlawful or unenforceable, the remaining provisions shall remain in full force and effect.

4. Governing Law and Jurisdiction

This EULA, its subject matter, and its formation (including any non-contractual disputes or claims) are governed by English law. Both parties irrevocably agree to submit to the exclusive jurisdiction of the courts of England and Wales.

By installing or using the Software, you confirm that you understand and agree to the terms of this EULA.
