Rescope.Commerce.BackOffice 13.1.5

This End-User License Agreement (“EULA”) is a legal agreement between you (“Licensee”) and Rescope Digital Ltd (“Licensor”), a company registered in England, governing your use of the Rescope Commerce software (“Software”). By installing, accessing, or using the Software, you agree to the terms of this EULA.

If you do not agree to these terms, you must not install, access, copy, or use the Software.


1. Grant of License

1.1 License Scope

Licensor grants you a limited, non-exclusive, non-transferable license to install and use the Software solely on websites for which you have a valid license. A separate license fee must be paid for each individual website on which the Software is installed.

1.2 Usage Restrictions
  • You may not attempt to reverse engineer, decompile, disassemble, or otherwise access or modify the Software's source code, except to the extent that such activity is expressly permitted by applicable law (e.g., for achieving interoperability with other software).
  • You may not sublicense, rent, lease, lend, or distribute the Software to any third party.
  • The Software must only be used in compliance with this EULA.

2. Warranty Disclaimer

2.1 No Warranty

The Software is provided “as is” without any express or implied warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

2.2 User Responsibility

You are solely responsible for evaluating the suitability of the Software for your needs and assume all risks associated with its installation and use.

2.3 Limitation of Liability

To the fullest extent permitted by law, Licensor is not liable for any direct, indirect, incidental, or consequential damages, including but not limited to loss of data, loss of profits, or business interruptions, arising from the use or inability to use the Software.


3. Severability

If any provision of this EULA is determined by a court or competent authority to be unlawful or unenforceable, the remaining provisions will remain valid and enforceable.


4. Governing Law and Jurisdiction

This EULA, its subject matter, and its formation (including any non-contractual disputes or claims) are governed by English law. Both parties agree to the exclusive jurisdiction of the courts of England and Wales.


5. Acknowledgement

By installing or using the Software, you confirm that you understand and agree to the terms of this EULA.
