End-User License Agreement (EULA) for Nx.ERP SDK

This End-User License Agreement ("EULA") is a legal agreement between you (hereinafter referred to as "Licensee" or "You") and Lazurd Computer Services LLC (hereinafter referred to as "Licensor" or "We") for the use of the Nx.ERP SDK (the "Software"). By installing, copying, or otherwise using the Software, you agree to be bound by the terms and conditions of this EULA. If you do not agree to these terms and conditions, you are not authorized to use the Software.

1. Grant of License:
   Licensor grants Licensee a non-exclusive, non-transferable, limited license to use the Nx.ERP SDK for commercial purposes in connection with developing applications and products ("End Products") developed by or for Licensee.

2. Permitted Use:
   a. Licensee may install and use the Software on multiple computers solely for the purpose of software development and testing.
   b. Licensee may incorporate the Nx.ERP SDK into End Products and distribute such End Products to third parties.
   c. Licensee may not distribute copies of the Software to any third party or make the Software available for download or use by others.

3. Intellectual Property:
   a. The Nx.ERP SDK and any accompanying documentation are the intellectual property of Licensor and are protected by copyright and other intellectual property laws.
   b. Licensee acknowledges that the Software is licensed, not sold, and Licensee does not acquire any ownership rights in the Software or its components.

4. Restrictions:
   a. Licensee shall not modify, reverse engineer, decompile, disassemble, or create derivative works based on the Nx.ERP SDK, in whole or in part, except as expressly permitted by applicable law.
   b. Licensee shall not remove or modify any copyright notices or other proprietary markings from the Software or its documentation.
   c. Licensee shall not use the Nx.ERP SDK for any illegal, unauthorized, or unethical purposes.

5. Support and Updates:
   a. Licensor may, at its sole discretion, provide support and updates for the Software.
   b. Any updates or new versions of the Software provided by Licensor shall be subject to the terms of this EULA unless otherwise specified.

6. Warranty Disclaimer:
   THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE. LICENSEE ASSUMES ALL RISKS ASSOCIATED WITH THE USE OF THE SOFTWARE.

7. Limitation of Liability:
   LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, DATA, OR USE, INCURRED BY LICENSEE OR ANY THIRD PARTY, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LICENSOR'S TOTAL CUMULATIVE LIABILITY ARISING FROM OR RELATING TO THIS EULA SHALL NOT EXCEED THE LICENSE FEES PAID BY LICENSEE FOR THE SOFTWARE.

8. Governing Law and Jurisdiction:
   This EULA shall be governed by and construed in accordance with the laws of Jordan. Any disputes arising under or in connection with this EULA shall be subject to the exclusive jurisdiction of the courts of Amman, Jordan.

9. Termination:
   This EULA is effective until terminated. Licensee's rights under this EULA will terminate automatically without notice if Licensee fails to comply with any term(s) of this EULA. Upon termination, Licensee shall cease all use of the Software and destroy all copies of the Software in its possession or control.

10. Miscellaneous:
    a. This EULA constitutes the entire agreement between Licensee and Licensor concerning the subject matter hereof and supersedes all prior or contemporaneous agreements, representations, warranties, and understandings.
    b. This EULA may not be amended or modified except in writing and signed by both Licensee and Licensor.
    c. If any provision of this EULA is found to be invalid or unenforceable, the remaining provisions shall remain valid and enforceable.
    d. The failure of either party to enforce any rights granted hereunder or to take action against the other party in the event of any breach hereunder shall not be deemed a waiver by that party as to subsequent enforcement of rights or subsequent actions in the event of future breaches.

BY INSTALLING, COPYING, OR OTHERWISE USING THE NX.ERP SDK, YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND THIS EULA AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS. IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS, YOU ARE NOT AUTHORIZED TO USE THE SOFTWARE.

11. Confidentiality:
    Licensee acknowledges and agrees that the Nx.ERP SDK and any related documentation contain valuable confidential information of Licensor. Licensee shall take all reasonable precautions to prevent unauthorized disclosure or use of such confidential information and shall not disclose, reproduce, or use the Nx.ERP SDK, in whole or in part, except as expressly permitted under this EULA. This obligation of confidentiality shall survive the termination of this EULA.

12. Export Control:
    Licensee shall comply with all applicable export control laws and regulations, including those of the United States and Jordan. Licensee acknowledges that the Nx.ERP SDK may be subject to export controls and agrees not to export, re-export, or transfer the Software to any prohibited country, person, entity, or end-use.

13. Indemnification:
    Licensee agrees to defend, indemnify, and hold Licensor and its officers, directors, employees, and agents harmless from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to Licensee's use of the Nx.ERP SDK, any End Products developed using the Software, or any breach of this EULA.

14. Assignment:
    Licensee may not assign or transfer any of its rights or obligations under this EULA without the prior written consent of Licensor. Licensor may assign this EULA or any of its rights or obligations hereunder to any third party without Licensee's consent.

15. Notices:
    All notices or communications required or permitted under this EULA shall be in writing and shall be deemed given when delivered personally or by commercial courier, or three (3) days after being sent by registered or certified mail, postage prepaid, return receipt requested, to the respective addresses of the parties as set forth in this EULA or to such other address as either party may designate by notice to the other party.

16. Language:
    This EULA is written and executed in the English language. If the Software is translated into any other language, the English version shall prevail in case of any discrepancies.

IN WITNESS WHEREOF, the parties hereto have executed this End-User License Agreement as of the date of installation or first use of the Nx.ERP SDK by Licensee.
